Mô tả công việc
1. Legal & Compliance Affair Section (60%)
- Give advisory/ comment/ recommendation to any of company legal related issues.
- Counsel the management in all legal questions, review legal document and assistance in negotiations.
- Review ongoing cases and advice management accordingly.
- Responsible for carrying out procedures related to dossiers and procedures on all required business licenses registration, amendment, renewal, etc.
- Work with sales & marketing team in all new/amended company policy for distributors as well as with the 3rd party.
- Oversee the review of marketing and/or promotional materials produced by various local departments and corporate divisions. This will require knowledge of all applicable laws, regulations, industry standards, etc.
- Review and provide legal advice on service / purchase contract / documents. Prepare and draft legal documents, such as: contracts, memorandum, labor documentation...
- Evaluate proposals, action plans and other situations that may have legal impact and determine pertinent course of action as required.
- Mandate and coordinate with external law/tax firms and monitoring of litigation and tax issues and assist in the preparation of documents for court cases/arbitration (if any).
- Update all new legal regulation and analyzing its potential impact on companys operations
- Assists in the establishment of corporate strategies, policies and plans, which align with government laws, regulations and standards.
- Build the relationship with related authority & work closely with local legal consultant.
- Other related tasks.
2. Regulatory (30%):
- Manage all the regulatory affairs activities on product registration, experimental use permits and licenses for corporate protection, additional product supply sources and maintain all licenses of import, re-pack, formulation for domestic and export market in compliance with national legislative requirements and regulations in timely manner.
- Support and lead team in term of product compliance implementation/ planning/ strategy.
- Follow and keep updating regulatory information and support (if any) for product registration
- On behalf of team in dealing with consultant agents when needed.
- Defend existing registrations and achieve registrations for new actives, line extensions and formulations in the shortest possible time.
- Follow up the registration/evaluation process with authorities (involving Regional Regulatory Science and scientific experts where necessary) and challenge requests by local authorities, where appropriate and justified. In case of critical issues or delays, develop solutions.
- Provide regulatory input to the development of product strategies incl. definition of the country GAP (in close cooperation with local Product Development, Marketing and Sales)
- Maintain license to operate and increase societal acceptance through systematic and forward-looking issues management to ensure forward-looking issues monitoring and management and effective mobilization of all important stakeholders and alliances along the value chain
- Others.
3. Other tasks assigned by Line Manager (10%):
- Being responsible as legal, Regulatory & Compliance representative assistant, make all reports related business at Vietnam as requirements.
Being responsible for factory legal & regulatory support.
- Conduct research and monitor legislation, manage internal and external communication, track happenings within the government that could affect their organization.
- Proactively, to research policies to see what changes could be advantageous and which trends might negatively impact the company in the future.
Yêu cầu
1. Education/ Professional qualification required:
- Law University graduated or higher in business law
- Fluent in English
- Good computer skills (MS Office) and Google Doc.
2. Experience and Abilities required:
- Typically requires 10+ years of managerial experience.
- Strong oral and written communication skills
- Strong problem solving and analytical skills
- Experience as the in house counselor that cover the same scope of responsibilities in a multinational company.
- Maintain a high level of confidentiality and ensure security for document, information and projects.
-Must have good commercial contract drafting skills and ability to deal with commercial transactions and good understanding of corporate laws, contractual laws, labor & employment laws, real estate laws and general commercial legal issues in Vietnam.
-Candidate with experience working in MLM industry is preferable.
3. Behavior and Functional competence:

- Proven ability to delicately solve sensitive matters.
- In-depth knowledge of regulatory law
